Schedule A: 1K Club Membership
A.1 Membership Overview
The 1K Club is an exclusive membership program limited to 1,000 members. Members receive significant discounts on all NeoAry AI Persona services.
A.3 Membership Benefits
50% Discount: Members receive 50% off all invoices for AI Persona services (Lead Recovery, Transaction Coordination, etc.).
Priority Support: Access to dedicated support channels.
Early Access: First access to new AI Persona capabilities and features.
A.5 Membership Cap
Membership is capped at 1,000 total members. Once the cap is reached, new memberships are only available when an existing member's term lapses without renewal.
A.2 Membership Fee
Annual Fee: $995 per calendar year
Pro-Rated First Year: If you join mid-year, your first payment includes the pro-rated amount for the remainder of the current year plus the full amount for the following year.
Example: Joining in November 2024 costs $92 (pro-rated for Nov-Dec 2024) + $995 (full year 2025) = $1,087 total.
A.4 Membership Term
Duration: Membership lasts until December 31 of the year following the year in which it was purchased.
Renewal: Memberships renew automatically on January 1 each year unless canceled at least 30 days before renewal.
No Refunds: Membership fees are non-refundable.
A.6 Termination
We reserve the right to terminate membership for violations of the Master Terms. In such cases, a pro-rated refund may be issued at our discretion.
Schedule B: Lead Recovery Service
B.1 Service Description
The Lead Recovery Service ("Invisibles") uses AI Personas to re-engage cold or unresponsive leads in your database through multi-channel outreach (email, SMS, chat).
B.3 Qualified Handover Definition
A Qualified Handover occurs when:
• The lead confirms interest in buying or selling real estate.
• The lead provides updated contact information or scheduling availability.
• The lead asks specific questions requiring a real estate professional's expertise.
Exclusions: Automated replies (e.g., out-of-office), unsubscribes, or spam reports do not qualify.
B.5 Billing
Billing Cycle: Monthly invoices issued within 5 business days of month-end.
Payment Terms: Due within 15 days of invoice date.
B.7 Service Level
Campaign Duration: AI Personas typically engage leads over a 30-60 day period. Performance Reporting: Monthly reports showing engagement metrics and Qualified Handovers.
B.2 Pricing Model
Pay-Per-Outcome: You are charged only when a lead is successfully handed over to you for follow-up (a "Qualified Handover").
B.4 Fee Structure
Standard Rate: $200 per Qualified Handover
1K Club Rate: $100 per Qualified Handover (50% discount)
B.6 Service Requirements
Lead Data: You must provide a lead list with at least email addresses. Phone numbers improve results.
CRM Integration: Optional but recommended for seamless handovers.
Compliance: You warrant that you have consent to contact the leads in accordance with CAN-SPAM, TCPA, and other applicable laws.
B.8 Termination
Either party may terminate this service with 30 days' notice. You will be invoiced for Qualified Handovers occurring before the termination date.
Schedule C: Closing Coordinator Service
C.1 Service Description
The Closing Coordinator Service provides an AI Persona that manages real estate transactions from contract to close, ensuring all tasks and deadlines are met.
C.3 Manual Billing
Per-Transaction Fee: $125.00 per transaction
1K Club Rate: $72.50 per transaction (42% discount)
When Charged: Invoice issued when you manually assign a transaction to the AI Coordinator.
Payment Terms: Due within 15 days of invoice.
C.5 Services Provided
The AI Closing Coordinator performs the following tasks:
• Tracks all contract deadlines and contingencies
• Sends reminders to all parties (agents, clients, lenders, title companies)
• Coordinates inspections, appraisals, and repairs
• Ensures all required documents are signed and submitted on time
• Provides status updates to the agent and client
• Escalates issues requiring human intervention
C.7 Human Oversight
While the AI Coordinator manages routine tasks, you remain responsible for the transaction. The AI will notify you of issues requiring your attention.
C.9 Termination
Either party may terminate with 30 days' notice. Fees for transactions in progress at termination are due in full.
C.2 Pricing Models
We offer two pricing models: Manual Billing and Auto Billing.
C.4 Auto Billing
Per-Transaction Fee: $100.00 per transaction
1K Club Rate: $50.00 per transaction (50% discount)
When Charged: Automatically triggered when a transaction is detected in your integrated CRM or MLS system.
Payment Terms: Due within 15 days of invoice.
C.6 Integrations
CRM/MLS: Integration with major platforms (e.g., Follow Up Boss, kvCORE, MLS systems).
Transaction Management: Compatible with systems like Dotloop, SkySlope, and Lone Wolf Transactions.
C.8 Liability Limitations
The AI Coordinator is a tool to assist with transaction management. We are not liable for missed deadlines, errors, or transaction failures. Your use of the service does not diminish your professional obligations.
Schedule D: Lead Concierge (the "LC")
Introduction
This Schedule D is incorporated by reference into and forms part of the Neoary Master Terms and Conditions (the "Master Terms"). Capitalized terms used in this Schedule have the same meanings given to them in the Master Terms unless otherwise defined here.
D.2 Definition
A Lead Response is any response that comes from a Lead in response to the LC's engagement.
D.4 Fees and Billing
(a) Each Lead Response is a Fee under the Master Terms.
(b) Each Lead Response the LC receives from the Lead will be billed at $0.50 per response.
(c) All fees are billed monthly in arrears unless otherwise stated in writing.
(d) Discounts apply only to fees charged directly by Neoary and do not extend to any third-party costs or pass-through expenses described in this Schedule, if any.
D.6 Administration and Program Changes
Neoary may monitor, refine, or adjust the LC Solution to improve performance or ensure compliance. Neoary may update pricing, operational thresholds, or other program parameters by providing notice in accordance with the Master Terms. Any such changes will apply prospectively.
D.1 Overview
The LC is an AI-powered digital worker that engages leads from the Customer ("Leads") through automated email and SMS communications. The LC identifies and qualifies Leads that respond or show interest and provides written handovers to the Customer or its designated representative for follow-up.
D.3 Rules and Operation
(a) Customers may upload up to 1,000 leads per day to be worked by the LC.
(b) The LC autonomously manages outbound and inbound communications with Leads until the LC is directed to cease communication. Customers may view the conversation history directly within the platform.
(c) When a Lead has demonstrated interest or intent to communicate, based on pre-set behavioral or conversational criteria, the Customer will first receive a handover dossier containing a summary of the conversation and key engagement details between the Lead and the LC. After the LC presents the handover dossier, the Customer can accept the handover or take over the conversation, in which case the LC ceases communication. The Customer may also stop the LC from responding at any time by selecting the "Cease Communication" option directly from the platform.
(d) Using the platform, the Customer can also direct the LC to respond in particular ways or provide teaching examples to steer the LC towards better responses.
D.5 Acknowledgement of Risk and Responsibility
(a) The LC operates using automated AI systems that rely on probabilistic models. As a result, responses and engagement outcomes may vary and are not guaranteed.
(b) Customers are solely responsible for ensuring that any Leads, messages, or data uploaded to the platform comply with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
(c) The Services are provided "as is," and Neoary is not liable for missed, delayed, or incomplete communications, inaccurate AI responses, or unconverted leads.
D.7 Relationship to Other Schedules
This Schedule operates in conjunction with all other applicable Schedules. In the event of a conflict between this Schedule and another Schedule, this Schedule governs for the LC Solution only. In all other cases, the Master Terms control.
